1. Scope and Acceptance

These Terms of Use (the “Terms”) govern access to and use of websites operated by or on behalf of Counterpoint Research (“Counterpoint,” “we,” “us,” or “our”), including publicly available content, features and functionality made available through those websites (collectively, the “Website”). By accessing or using the Website, you agree to comply with these Terms. If you do not agree with these Terms, you should not use the Website.

2. Website Use and Separate Customer Agreements

These Terms govern use of the Website only. Counterpoint research subscriptions, reports, data products, consulting services and other paid products or services are generally purchased through separate arrangements with Counterpoint and are governed by the applicable quotation, order form, service agreement, subscription agreement, statement of work or other written agreement. In the event of any conflict between these Terms and a separate written agreement with Counterpoint, the separate written agreement will control with respect to the relevant paid product or service.

3. Intellectual Property Rights

The Website and the content made available through it, including research, articles, reports, databases, charts, analyses, forecasts, methodologies, text, graphics, images, software, logos, trademarks and other materials (collectively, “Content”), are owned by or licensed to Counterpoint and are protected by copyright, trademark and other intellectual-property laws. Except as expressly permitted by these Terms or a separate written agreement with Counterpoint, no right, title or interest in the Website or Content is transferred to you.

4. Permitted Use

You may access and view publicly available Content for lawful informational and internal business purposes, subject to these Terms. Any use of paid, restricted or subscription-based content is subject to the applicable customer agreement or license.

5. Prohibited Uses

Unless expressly permitted by Counterpoint in writing, you must not: • reproduce, republish, distribute, redistribute, sell, resell, sublicense or commercially exploit the Website or Content; • systematically copy, download, extract, scrape, crawl, harvest or data-mine Website Content; • remove, obscure or alter copyright, trademark or other proprietary notices; • circumvent or attempt to circumvent authentication, access controls, usage restrictions or security measures; • share account credentials or permit unauthorized persons to access restricted Content; • use the Website in a manner that is unlawful, fraudulent, misleading or harmful, or that interferes with the operation or security of the Website; or • use automated means to access the Website in a manner that imposes an unreasonable load on Counterpoint systems. Notwithstanding the foregoing, limited quotation or citation of Content for legitimate editorial, academic or business purposes is permitted where accompanied by appropriate attribution to Counterpoint. Any broader reproduction, distribution or republication requires Counterpoint’s prior written authorization or an applicable license.

6. Automated Access and Artificial Intelligence

Counterpoint welcomes AI-powered search and answer services that cite Counterpoint content as a source in their responses, consistent with Counterpoint’s published crawler policy at counterpointresearch.com/robots.txt. Traditional search-engine indexing (for example, by Googlebot, Bingbot or similar services) is unaffected by this Section and remains fully permitted. Bulk or systematic collection of Website Content to train, fine-tune, develop or improve an artificial intelligence or machine-learning model requires Counterpoint’s prior consultation and, where applicable, compliance with Counterpoint’s published crawler policy. Unless expressly authorized by Counterpoint in writing, you may not use crawlers, automated extraction tools or similar technologies to systematically extract, reproduce or ingest Website Content in a manner inconsistent with that policy. Any rights or restrictions concerning the use of paid Counterpoint research, data, reports or other licensed materials in artificial intelligence systems are governed by the applicable written customer agreement.

7. Accounts and Access Security

Where the Website or a Counterpoint research platform requires an account, you are responsible for maintaining the confidentiality of your login credentials and for using the account only as authorized. You must promptly notify Counterpoint if you become aware of unauthorized access to or use of your account. Counterpoint may suspend or restrict access where reasonably necessary to protect the Website, Content, Counterpoint systems or other users, or where access is inconsistent with applicable contractual rights.

8. Third-Party Links and Services

The Website may contain links to third-party websites, platforms or services. Counterpoint does not control and is not responsible for third-party content, privacy practices, availability or services. Access to third-party services may be subject to the third party’s own terms and policies.

9. Informational Nature of Website Content

Publicly available Website Content is provided for general informational purposes. While Counterpoint seeks to provide useful and reliable information, Website Content may not be complete, current or suitable for every purpose and may be updated or changed without notice. Website Content is not intended to constitute investment, financial, legal or other professional advice. Users are responsible for evaluating information and obtaining appropriate professional advice where required.

10. Website Availability and Disclaimer

To the maximum extent permitted by applicable law, the Website is provided on an “as is” and “as available” basis. Counterpoint does not guarantee uninterrupted or error-free access to the Website and may modify, suspend or discontinue Website features from time to time. Nothing in this Section modifies any express warranty or service commitment contained in a separate written customer agreement with Counterpoint.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Counterpoint will not be liable for indirect, incidental, special, exemplary or consequential losses arising solely from access to or use of the public Website, including loss of profits, revenue, business opportunity or data. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited. Liability relating to paid products or services is governed by the applicable written customer agreement.

12. Suspension or Termination of Website Access

Counterpoint may suspend or terminate access to the Website or restricted areas of the Website where reasonably necessary for security, maintenance, legal compliance, suspected misuse, violation of these Terms or expiration or termination of applicable access rights.

13. Changes to the Website and These Terms

Counterpoint may modify the Website and may update these Terms from time to time to reflect changes in its business practices, technology or applicable law. Updated Terms will be posted on the Website with a revised “Last Updated” date. Where required by applicable law, additional notice will be provided.

14. Applicable Law and Mandatory Rights

These Terms are subject to applicable law. Nothing in these Terms is intended to exclude or restrict rights or remedies that cannot lawfully be excluded or restricted. Any governing-law, jurisdiction or dispute-resolution provisions applicable to a paid Counterpoint product or service are governed by the relevant written customer agreement.
